ENERGY INFRASTRUCTURE & SECURED COLLATERAL FORECLOSURE

An opportunity to acquire certain personal property, operational equipment and secured collateral associated with SBC Energy, operator of the central energy facility serving the Southbridge Innovation Center.

SBC Energy operates from an approximately 35,274-square-foot power plant, originally constructed in 1910 as part of the historic American Optical Complex. The plant has served as the central utility provider for the Southbridge Innovation Center, supporting tenanted spaces, common areas and other portions of the campus.

1.1 MW COMBINED HEAT & POWER SYSTEM

SBC Energy was formed in 2014 and acquired the existing power plant equipment that same year. In 2017, the company installed a combined heat and power (CHP) co-generation system capable of producing up to approximately 1.1 MW of electricity, together with hot and chilled water production.

The integrated energy system has historically provided:

  • Electrical power

  • Steam

  • Hot water

  • Chilled water

  • Heating and cooling support

  • Centralized utility distribution throughout the Southbridge Innovation Center

The CHP configuration is designed to simultaneously generate electricity and usable thermal energy from a single fuel source.

SOUTHBRIDGE INNOVATION CENTER

The SBC Energy facility serves the Southbridge Innovation Center, an approximately 1.2-million-square-foot mixed-use campus consisting of 14 principal buildings on approximately 150 acres.  The Center includes hotel/conference, commercial, industrial and manufacturing space with potential uses including:

  • Research & development

  • Office

  • Light manufacturing

  • Biotechnology and life sciences

  • High technology

  • Warehouse and distribution

  • Manufacturing

  • Education and training

  • Other commercial and industrial operations

INFRASTRUCTURE & EXPANSION POTENTIAL

The energy facility offers several attributes that may be important to energy operators, infrastructure investors and industrial users evaluating future capacity or expansion:

  • Natural gas infrastructure

  • Available water resources

  • Substantial electrical switchgear and distribution infrastructure

  • Existing central utility distribution network

  • Established CHP configuration

  • Potential capacity to support future campus or energy requirements

Any expansion or continued operation is subject to engineering review, utility capacity, regulatory approvals and applicable agreements.


PERSONAL PROPERTY & SECURED COLLATERAL

The Mortgagee's security interest is broad and includes certain personal property, fixtures, equipment and other secured collateral of SBC Energy, together with applicable proceeds and products thereof.

The secured collateral may include, to the extent covered by the applicable loan and security documents:

  • CHP and co-generation equipment

  • Electrical generation equipment

  • Switchgear and distribution equipment

  • Heating, cooling and thermal-energy systems

  • Pumps, motors, controls and related plant operating equipment

  • Fixtures and other equipment

  • Inventory

  • Accounts and receivables

  • Instruments and documents

  • Deposit accounts

  • Certain contract rights and payment rights

  • Certain investment property and general intangibles

  • Proceeds and products of the foregoing collateral

The specific assets offered at foreclosure will be governed by the Mortgagee's loan documents, security agreement, UCC filings, foreclosure notice and final collateral schedule. Prospective purchasers should rely upon those documents for the definitive description of the property being sold.

IMPORTANT REAL ESTATE & OPERATING RIGHTS DISCLOSURE

This Mortgagee Sale is limited to personal property, operational equipment and secured collateral. No fee-simple real estate interest in the land or building occupied by the SBC Energy power plant is included in the foreclosure sale.

The land and building occupied by the plant are subject to a ground lease from a third party. Certain operating permits and other rights associated with the energy operation are held by other third parties and should not be assumed to transfer automatically with the secured collateral.

The lender is engaged in discussions with the applicable landowner and business owner concerning potential arrangements that may provide control, access or other rights for the benefit of a successful purchaser, or for a subsequent purchaser from the lender in the event of a credit bid.

Prospective purchasers should independently evaluate the ground lease, access rights, permits, operating authority, utility arrangements and all other matters necessary for continued or future operation.

RELATED (SEPARATE) WELLSWORTH HOTEL FORECLOSURE

The same Mortgagee will also conduct the separate foreclosure auction of the nearby Wellsworth Hotel, a 203-room full-service hotel, conference center and office complex located within the Southbridge Innovation Center.

The two offerings are separate foreclosure sales with separate collateral and sale documentation.

Auction Terms

A $50,000 deposit by cash, certified check or bank check is required at the time and place of sale. The balance is due within five (5) days of the sale.  All other terms will be announced at the sale or contained in the official Mortgagee's Notice of Sale and other related documents. .

Prospective purchasers are encouraged to complete independent due diligence concerning the equipment, secured collateral, condition, ownership, ground lease, access, utilities, operating permits, licenses, environmental matters and all other considerations material to acquisition and continued operation.
